I've seen some say that we in management won't be able to find another position with another corporation because we've worked for IBC as management and no one would want us. Couldn't be further from the truth. I have companies that have been contacting for me months. Some colleagues as well. You see, we run in different circles. In the corporate world, it is quite evident that the crisis IBC is in cannot be blamed solely on any one manager or even the entire corporate ladder. Other corporations understand how it is difficult at times to maintain a company's profitability when Labor is involved. I've expressed interest to some of my suitors, but told them I would have to ride this out first. I have two or three positions waiting. I could start tomorrow if I so choose. However, I'm going to wait. Draw my final sizeable bonus, severance, and then vacation the entire month of December and will probably return to work sometime in mid-January. Does your level of education and experience afford you that? Didn't think so. |

BCTW workers got 1 week per year @ 30 hours pay for each year up to a max of 900 hours plus any vacation time owed, if you had less then 10 years you lost 3 years qualifing time, over ten then you got it back. Machinist union workers got the same except they lost 3 years qualifing time no matter what. IBT worker only received last pay checks and vacation pay, no severance pay issued as yet because the teamster are refusing to talk. the other problem that worker were not aware of was they knew they were going to receive these large severance checks so employees turned in adjusted W-4 tax forms so that Uncle Sam would not take such a big bite out of those checks, but this did not work with the severance checks due to each one having to be hand typed and not through the normal payroll check printer. Any severance checks that were over $10000.00 were hit pretty hard with tax, any that were under the $10000. amount got off a lot easier. In other words it was useless to turn in adjusted W-4 with more exemption to aviod tax on severance checks. Medical benefits are good through your total weeks severvance. Nonunion workers not sure what they got. |

Comment: A few words about severance in So. Cal. First of all, there is/was NOTHING to review as far as severance was concerned for Southern Cal. IBT RSR's! No action by the locals was required for this company to issue severance. The severance clause of the CURRENT contract is simple, easily understood and in the absence of any other "negotiated" phantom contract, totally legally binding. The formula and guidelines for issuing severance is plain and clear and was negotiated in good faith by IBC and all effected IBT locals. It doesn't matter if IBC is in Bankruptcy. Bankruptcy does not release an entity from contractual obligations, only from financial liabilities incurred before the date of the bankruptcy. Therefore there is no action that would have been required by union officials regarding severance. It is a simple contractual obligation. IBC cannot run away from this obligation. Just as it cannot run away from its debtor obligations. If IBC wants to take the chance of stiffing loyal, hardworking, dedicated employees out of severance then it must face the music. First it must answer to its legal authorities (aka BK Judge) who, by the way, can read English in black and white. And it will have to answer to some pretty pissed off employees and there is no telling how some of them might respond if IBC fails to provide severance at lay off time. |

I know this because I have a very credible source, who I for obvious reasons cannot out. The competition has already submitted bids for what they're interested in. No one as of yet has come forward and offered to buy everything, just scraps. Sara Lee has expressed the most interest in the Midwest...especially Emporia. It's practically a done deal. They're just waiting to see what happens like everyone else. They are poised to takeover almost immediately. Everything on the coasts are up in the air, no serious contenders and not much interest at this point. The word I've heard is that no one wants to take on the union burdens associated with the coasts because of the labor costs that comes with them. |

But both sides need to realize that each employee has a job to do and if we let each other do our individual jobs we will all be the better for it. Having said that it is also up to each employee (including management )to do his/her job to the best of his/her ability and not be a burden to the rest of the employees with picking up the slack. One of the biggest problems i see is employees of all levels Not doing their job and depending on someone else to pick up the slack. So in the end you have alot of people Doing Nothing and waiting for someon else to do their job and or a lot of finger pointing. Each person is a either a part of the solution or a part of the problem. In my opinion If you dont want to be apart of the solution then you should find another job( this has nothing to do with pay cuts or contracts). If we would all do our job ( From the CEO to the most junior Employee) then IBC would be Rolling in the Dough and we could go to managment and tell them we want more money/ better benifits etc. and have a shot at getting it.This is definitely a team effort and we will either Survive as a Team or Die as a Team. If we dont all do our jobs and work as a team then no matter how many pay cuts benifit cuts we take or management takes we will not be able to survive as a company. just my opinion

Comment: To answer some questions. When you purchase stock you are giving the company money now for the chance at future profits. When a company sells for example 100 million shares and calls this 50% of profits. Then each quarter 50% of the profit is divided btw the shareholders and the rest goes to the company for use. It is a risk if the company decides to cancell its stock then all whom have not made profits past their purchase lose. The company due to tax credits did make money first quarter 28 million (look at page 6 of the 10k) but with credits they showed a paper loss. This is how some companies stay in business and grow but show a loss. IBC has had so many years of losses that were higher than tax credits they had to borrow money and pay later on bills to stay a float. This is the reason for the bankrupcy. The consessions and other cost saving methods must outweigh all that plus enough to pay back old debt. The new plan the company filed is plan b cancell stock issue new stock to raise capital to pay back some of it's credit secure the rest using the 400 mil plus secure jp morgan. This is an excellent plan it hurts old stockholders but uses new stockholders to exit BK. |

POTENTIAL doesn\'t pay the bills or satisfy the creditors. ...." last quater which is 12 weeks they generate 25 millions in ebitda. and for the whole year ended june 2007 they generated 36 millions but you have to remember that jung and new management only worked for less than 5 months during that period. most of the ebitda that was generated last year occured after jung became ceo. i believe you have mistaken ebitda with net earnings. anyway, i used a very conservative figure of 36 millions in ebitda that was generated and add on the following numbers: 13 millions in savings from closing s ca, 17 millions from laying off 215 management positions, 20 millions from concessions for health care benefits, so far it is already 86 millions. the remaining 64 milions come from work rules change and concessions from the unions. this number is easily achievable. remember in one the press releases by teamsters, by accepting concessions, the teamsters members were asked to give up 300 millions in 5 years or 60 millions yearly and that is just from the teamsters. as you can see, all of my numbers are very conservative. now that is with union concessions. let look if there is no concessions from either unions. the company either decide to void all unions contract or sell the company to someone else and that investor decide not to honour the contracts and adopt independent distributorship. then automatically, the company will incure 850 millions in withdrawal liabilities due to pension shortfall. they have about 550 millions in debt. so total debt and pension liabilities is 1.35 billions. flowers is non unionized, has sales of 2 billions and generate about 200 millions in ebitda yearly. they have no debt or pension liabilities, their total enterprise value is about 2 billions which is about 10x ebitda. now management reject all unions contract, there it is not unreasonal to assume they can generate similar operating margin as flowers. then ebitda without unions will be about 300 millions, using 10x multiple like flowers will give you total enterprise value of 3 bllions. subtract 1.35 billions of debt and pension liabilities will give you equity value of about 1.6 billions which is about 40 dollars per share.
the reason the prepetition lenders give ibc such a low enterprise value is because they don't want to share the company with anyone else. if you don't know what i mean, then look it up. here is another interesting fact. the equity committee which holds more than half of the company outstanding shares, they have all the inside informations and you know what they are still holding on to their shares. none have sold their positions during the last 8 months. |

Comment: What are we supposed to do when our so called "shop steward" is a company man? How can we take care of business at this plant when he is a company scab? I also think that our union (BCTGM) sold us under the table. We had our vote at the union hall and it didn't pass. Then the rumors were that someone felt intimidated and then we had to have a revote at the plant. No one held a gun to anyone's head at the meeting and nothing was done to anyone. We all think it was a lie just to get us to revote and pass it. But their attempts failed again. The only one who may have felt intimidated at the hall was Barry Fields, the local union rep. I personally that this union is trying their best to get this contract voted for. We wonder who's pockets are going to get lined if it does. |

Comment: Instead of striking, Tucker and the local union leadership proposed that union members vote down the proposed contract but stay in the plant and conduct a job action designed to "cause the company to rethink its position." The union recruited local leaders, both official and informal, to form a "Solidarity Committee" outside of the official union structure to wage the in-plant campaign; by constant recruiting it grew from a small initial nucleus to 100 of the 500 union members in the company. The foundry workers, described by Tucker as "a bunch of big, mean, dirty-looking guys," went to demand a meeting with their foreman. When the foreman ordered them back to work, their spokesperson, known as Pee Wee, said, "No, we’re going to have a meeting with you." "No you’re not," the foreman said. "Who’s going to stop us?" Pee Wee asked. The foreman sat down and listened to the foundry crew’s concerns. Skilled trades workers similarly confronted the vice-president of engineering in his office. After nearly six months, the company’s attorney called Tucker and said, "You’ve won. The company wants it over." Moog accepted the union’s original bargaining position and full amnesty for workers. |

May 19 saw the first major instance of violence, when police attacked a group of strikers who were attempting to stop scabs unloading a truck in the market area. The market was an important area during the strike and saw many scenes of violence, it was considered imperative that the strikers made sure that no trucks unloaded there because of its importance as a general distribution area, especially for farm produce. A few hours later another group of workers were attacked, this time after spotting scabs trying to unload newspapers at two of the major local newspaper's loading bays. The injured strikers were taken back to the union headquarters and were followed by police officers who, when they arrived, were not only refused entry by the strikers, but were fought outside on the street, leaving two of them unconscious. Major clashes between workers and police occurred again on May 21, when the police and members of the Citizens Alliance attempted to open the market for business. A large fight ensued with about 600 workers armed with clubs clashing with the police, some even driving a truck into the middle of the police lines so that firing on the strikers would have been impossible without the risk of shooting their own men. Over 30 police officers were hospitalised and no workers were arrested, although several, including women, were badly injured. Fighting intensified the next day after a rally of 20,000 workers and supporters had assembled in the market area on to which the police had advanced. The strikers success in driving back the police and Citizens Alliance deputies away from the market area lead to two deputies being killed, one of whom was a member of the board of directors of the Citizens Alliance. |

Comment: to tom buffalo, the stock price has nothing to do with what is going on right now. most people just dump their stock because they think with bankruptcy, this stock is worthless. however if you do a careful analysis you will see the exit proposal sofar is very conservative. it value the total enterprise for ibc only at about 450 millions. how do i get this number? well 450 in prepertition debt and another 65 millions offered to unsecured debt then you subtract 85 millions cash on hand then you arrive at a total enterprise value of about 450 which is ridiculous. in the most conservative scenerio, this company can generate about 150 millions in ebitda yearly and if you use the lowest enterprise multiple for the industry of 6 (usually it is between 8 to 10), you arrive at enterprise value of 900 plus 85 millions of cash on hand, give a total enterprise value of 985. if you subtract the total secured and unsecured claims of 750, you have 200 remaining for current shareholders which translate to about 5 per share. remember all the number i used sofar is very conservative. the proposal that they have just serve as a floor for aother bidding proposals schedule on december 17. very likely they will have at least 20 bidders who have to bid higher then the current proposal enterprise value. |

Comment: Enough is enough. Biddeford has not had raises in years. We gave back when we were aked to.And now the company wants even more.Nobody is expecting to get rich here, but the job has become barely viable as a means to make even a sub-standard living. Its the same people doing the same thing expecting a different outcome. We are fundamentally incapable of change and there appears to be no plan in place to rectify the problem. Mr. Jung, with all due respect, We are finding it almost impossible to both eat and heat our houses at the same time. We are not over paid greedy people, we are hard working folks trying to eke out a living.THE BAKERS ARE NOT THE PROBLEM. Please sir, either enable current management to run the bakery efficiently or clean them out and find people who can. The answer does not lie in squeezing pennies out of your work force while you and yours enjoy insane bonuses . We see this for what it is. Credibility is earned, and Ibc has none. |

Comment: i'm not sure. but, if i remember right. 2 contracts ago or so. the drivers gave up their rights to severance pay. for recieving the good increase that you guys recieved on your pension plan. you have to admit, thats a pretty sweet deal. there is something in your contract about severance pay. you do read your contract book, don't you? if you don't, just look in the mirror. i know that the severance pay dispute is in the bakers bible....(rewrap) |

(If IBC was REALLY trying to get out of this mess by making a product that would sell…but then again, they wouldn’t have to ask if they were making a product that would sell…you think???) I can take paying some on health costs. (Most employees do in today’s workforce.) I can even take that PTM crap. (What makes the difference if it sits in some store’s back room getting stale over sitting on our docks/trailers/etc. getting stale.) Don’t get me wrong; I don’t like any of it!!! But I CAN’T take that outside carrier crap with non-Teamsters taking our jobs, plus all of the other crap they want so we have no job security any longer!!! What part of that don’t some of you get when you think we should give in? I HOPE they sell Colombo, so I can once again get a REAL loaf of the San Francisco icon known as French bread that they KILLED. Biddeford was one of only four who rejected concessions. Others were in North Central. there were others who initially rejected by then revoted and accepted. Actual count of bakeries that have ratified accounts for roughly 90% of total number of bakeries. Seems to me that there will probably be about 10% of bakeries closed.......
As for Burkle, don't believe anything you hear about that until there's an official announcement. Burkle will not be given any opportunity to get inot IBC in any manner. In order to purchase those rights that you allege, he would have had to sign an investor's confidentiality agreement...this potential purchase would be considered part of the emergence from bankruptcy. |

The BCTGM has conspired with IBC to coerce and restrain the democratic voting process nationwide.The Bakers unions's biggest fear is mass decertification by their members,which is a real option due to IBC's current situation and approaching deadline.They are acting to secure their dues and initiation fee's ,not the members best interests.Be aware all,take action and fight for whats fair. |

Comment: This is my 1st and last post here. I have 3 days left and just found out I am not going to get my severance pay because our wonderful union could not find the time to meet with the Co.. Bakers and the Engineers found time to meet and they are getting there's. Over 15 years and I know the Co will blame the union and the union will blame the Co I really don't care the union should have taken care of this. I also heard the Co gave a Managers job to one of our SD sups. When you fine out who it is you will see where the Co is going. See you all in the unemployment line on the 8th. Comment: well I will try again. I thought the letter we recieved today was good news. If IBC and the unions can agree then IBC can get 400 milion dollars infinancing. BUT then it goes on to say that 90% of the bakers unionkers have already agreed. I find this hard to believe. In fact the letter was written on oct. 22 before my bakery even voted. if this is in fact not a true statement then hoiw are we to believe anything? please tell me if I' m wrong about the vote. |

Comment: As far as I can tell the bctgm are a long way from ratifying the proposed concessions but management keeps indicating that they are on board. The teamsters really have nothing to bring to the membership because the current proposals leave the door wide open for subcontracting, jobbing, outsourcing, and drop shipping using non-union employees. Okay let me put this to a vote....NO! Jung continues to say 25000 jobs are in the teamsters hands while he also says that a labor group cannot dictate how a company do |
