A federal bankruptcy judge has denied a request by Interstate Bakeries Corp. to force a group considering a bid for the baker to disclose terms of an agreement with a key union.
The decision Thursday from U.S. Bankruptcy Judge Jerry Venters followed court arguments from Interstate that it needed to know the terms of an exclusive agreement between the International Brotherhood of Teamsters — which represents 9,500 IBC workers — and the U.S. bakery division of Grupo Bimbo and Los Angeles-based investment firm Yucaipa Cos. Grupo Bimbo and Yucaipa are considering a bid for the wholesale baker.
IBC, maker of iconic brands Wonder bread and Hostess Twinkies, has been in bankruptcy reorganization since September 2004. The company argued that it needed to know the terms of the agreement partly because it needed to determine whether there was anything that would violate bankruptcy law. IBC was joined in trying to force the disclosure by the committee representing unsecured creditors.
Additionally, IBC’s attorneys argued that the information being kept secret was having a chilling effect on other potential bidders.
Yucaipa, run by billionaire Ron Burkle, and Bimbo Bakeries USA, based in Fort Worth, Texas, revealed Nov. 2 that the Teamsters would work exclusively with the duo in making an offer for IBC. That news came shortly after the Teamsters broke off talks with IBC, saying it was impossible for them to come to terms over wage concessions and changes the baking company wants to make to its delivery system.
“The process is naturally being derailed and chilled … because one of the potential bidders announces publicly to all others who may or may not be interested in the company, ‘Don’t bother. We’ve locked up nearly half of (the company’s) labor force through the Teamsters that is available to us and nobody else,’ ” said Zachary Rosenbaum, an attorney representing the unsecured creditors. “The natural consensus must be that a prospective bidder who might otherwise be interested in this process would sit on the sidelines.”
But Venters ruled there was no basis to force the disclosure now. He also noted that if Yucaipa and Bimbo make an offer by a Dec. 13 deadline, many of the details IBC seeks will be disclosed at that time.
Meanwhile, Interstate has filed its own reorganization plan and has been promised $400 million in financing if it can get additional concessions from the Teamsters. It has already gained concessions from the Bakery, Confectionery, Tobacco Workers and Grain Millers International Union, which represents about 10,000 Interstate employees.
Other parties wanting to make an offer for IBC had to make their intent known to the company by Wednesday. All other bidders besides Yucaipa and Bimbo have a deadline of Jan. 15 to submit proposals. If there are multiple bids, an auction will take place on Jan. 22, and the court on Jan. 29 will give its blessing to the prevailing bid.

LA's Burkle has hurdles to clear in buying Interstate Bakeries

KANSAS CITY, Mo.—A Los Angeles-based investment firm owned by supermarket billionaire Ron Burkle is part of a consortium trying to buy Interstate Bakeries Corp., the maker of Hostess Twinkies and Wonder Bread.
But Interstate Bakeries, which has been under Chapter 11 bankruptcy protection since Sept. 2004, isn't making itself an easy target.
The company on Thursday will ask a bankruptcy judge to force the consortium to provide more details on an exclusive arrangement it says it has with one of Interstate's largest unions.
Burkle's Yucaipa Companies and the U.S. subsidiary of Mexican baking giant Grupo Bimbo said on Nov. 2 that they planned to make a joint bid for Kansas City-based Interstate.
In court filings, Yucaipa and Bimbo said they had an exclusive agreement with the International Brotherhood of Teamsters, which represents about 9,500 of the company's 25,000 employees.
Talks between the Teamsters and Interstate Bakeries broke down last month over wage and welfare concessions, as well as the union's opposition to proposed changes to the company's distribution system.
During a Nov. 7 hearing, U.S. Bankruptcy Judge Jerry Venters gave other bidders until mid-December to propose better deals for the company, which could lead to an auction in January.
At that hearing, Interstate Bakeries said it was nearing an agreement with Yucaipa and Bimbo to provide them confidential information about the company's businesses so they could
flesh out a bid for the company. But in return, the bidders had to provide details of their agreement with the Teamsters.
The company has said the existence of such an agreement could scare off other potential bidders and that bankruptcy law allows Interstate Bakeries to demand those details.
Interstate Bakeries said Yucaipa and Bimbo have had the confidential company information since Nov. 13 but have yet to provide the Teamsters details.
In separate responses, Bimbo and Yucaipa officials say the Teamsters information is not available under bankruptcy procedures, that it would be difficult to provide and that it would involve disclosing confidential commercial information.

You think Alvarez and then Jung didn't ask the same questions about IBC's previous mangement? One of the last things Sullivan did was write himself and his posse "parachute" clauses. And they are very expensive for IBC to get out of. Jung's guaranteed salary is 900K, which puts him in the bottom 25% of CEO compensations both in company size and revenue. He has performance-based bonuses based on how the company does each year. He also has clauses regarding "maximizing the value for creditors" in turning the company around or the eventual sale. Comment: I've had fissure at the top of my butt crack for quite some time now. I truely beleive it is caused by soggy bottom, or swamp ass. It feels like what i'd imagine a bed sore would feel like. My Girl friend has attempted to mend the two inch long fissure several times with Q-tips and cotton swabs. i've taped medicated gauze to the crack also. nothing worked until I powdered it with flour. It created a cake like substance in the crevase to which i removed with a butter knife. I reccomend using lilly white self rising flour. I gurantee this method. give it a shot. |

Comment: The last few months I've had a very strange and painful problem. No one I've asked has ever had this problem, so I'm looking to you people here to help me. For the last few months my ass crack has been chapped. The crack itself is very red and quite painful, and looks like the cracking you get on the sides of your mouth if your lips are extremely chapped. I have not changed my wiping habbits -- I use the damp Cottonelle wipes. I've been putting Neosporin with lidocaine on my crack and that makes it feel better but the problem isn't going away. Comment: ANON/Buffalo: In regards to the auction thing...auction means the company is sold. there is no guarantee at that point that it will be sold "whole" or "as is". In order to buy it that way, Bimbo/Yucapia would have to pay more for the Company than the sum of its parts. IBC if sold at auction will be worth more if sold piecemeal than if sold "as is". You see, when determining the "net worth" of the assets of IBC, especially the way Yucaipa/Bimbo has to buy it "as is", the pension and WC liabilities have to be contained in the cost of IBC, as well as the cost of labor under the contracts. Unfortunately, that significantly increases the bid Yucaipa/Bimbo must be prepared to make in order to buy. Additionally, Yucaipa/Bimbo must also figure into their "bid" the additional cost of satisfying the debt, and return for the creditors. This is another uphill battle for Yucaipa/Bimbo. As you can see rom the plan that IBC filed, 95% of the creditors were satisfied with the return, including conversion of some of their debt. Question would be whether Yucapia/Bimbo could convince the creditors to ake a similar deal. See that as being a hard sell, especially since Yucaipa/Bimbo have already stated that they would leave ditribution/sales "as is" and the creditors already approved Jung's plan of Path to Market, recognizing the significant inefficient practices currently in place. Even though Yucaipa/Bimbo made a big "splash" getting into the picture, there's no guarantee that they will end up with IBC. Surprising that the Teamsters would throw in with Bimbo, given Bimbo's recent history of closing acquired facilities, movin the production into their own facilities, and transferring their delivery system to an independent distributorship as they recently did in Texas. Also, be very wary of Yucaipa: in the Allied Holdings takeover they did with the Teamsters last year the Teamsters actually gave up MORE in concessions when the total package was tabulated than what Allied had been asking for. This whole thng isn't as simple as some people believe: Yucaipa/Bimbo buys the company, and the next day life goes on......Bimbo isn't out evaluatiing facilities and processes for their health. they now have a way in to determine just exactly what they want of IBC and what they don't want. And no one says that Bimbo has to stick through this with the Teamsters/Yucaipa. they can back out and make their own plans for purchase...probaly at auction when what they want will be cheaper than buying with the Teamsters/Yucaipa. |

Federal and State Safety laws on the job prevails over all excuses of these types. Company policy also comes into play. One reason you may hear is that this so-called hostler is driving on private property. However, if this is indeed the case at hand, then why is this job assigned only to those who have a class 1 license, passed a pre-employment DOT required drug dance and is also subject to DOT random/for cause follow-up testing. In fact, without his or her Class 1 license in their pocket by IBC policy, Teamster contracts, state and federal laws, DOT regulations, they cannot even be assigned this job. IF you want early retirement with just minor injuries (maybe!) and a big pot of IBC gold, while your walking across the yard area, and after this person reaches 14 hrs. a day or 70 hrs. within 7 consecutive days, fall under their vehicle. My father worked for Langendorf (American Bakeries then Good Stuff), then dovetailed into IBC\'s Dolly Madison Division in So. Cal around 1988 so he worked for IBC a good 7 to 8 years before the Dolly Madison/Continental back to IBC as Hostess/Dolly Madison fiasco. I don\'t know what was going on at the higher levels of the company at the time, but according to my dad, HIS problems started when Continental took over Dolly Madison and it just went down hill, especially after IBC bought Continental. He said that up until then IBC wasn\'t THAT bad a company to work for, I remember him telling me back in his Langendorf days that Continental RSR\'s had a bad rap among the other driver\'s as shelf crowders and product smashers, a but again this is just HIS personal experience. He also is right about the handheld. It does 3 things. It makes nice tickets and it did enable inexperienced salesmen partially capable of doing the job and made it easier for DM and DSM to look at numbers. All this time they spent looking at these numbers kept them in the depot, rather than in stores. Not one loaf of bread or piece of cake ever got sold by these guys sitting in the office looking at numbers instead of the DM and DSM hitting stores to see what the customer was buying and straightening up the table. And just maybe even talk to a store manager or a bakery mgr.

Anonymous in Knoxville, back in the mid 1990\'s Interstate SOLD the Southern California Dolly Madison Division to Continental Baking Company. Unlike Interstate Brands who honored the Langendorf Teamster contract by \"dovetailing\" the Langendorf drivers into Dolly Madison, Continental didn\'t honor the contracts and forced the Dolly drivers to APPLY for a position, take a stupid math test and then put them at the bottom of the seniority list. The Teamsters sued, IBC bought Continental and the Dolly guys had their seniority, vacation and back pay reinstated and the rest is history. So the fact that Continental did that kind of lends credence to my dad always saying that Continental was \"Evil\".
So yes Dolly Madison at least in Southern California WAS at one point owned by Continental Baking Company. Friend of Bill, I didn\'t work for Langendorf, my dad did out of the 62nd Street Depot across from Hostess, his route was later moved to the North Hollywood Depot of of Sherman Way/Atoll then back to 62nd Street. He started with Langendorf in the late 1970\'s through the dovetail with Dolly Madison and later Hostess, he retired out of Charter Oaks about two years before IBC declared BK. I asked him about Bill Summers and he couldn\'t recall the name, was he Bread? My dad was Cake and Cookie, there were white Langendorf Cake trucks on one side and the yellow Barbara Ann bread trucks on the other side of the depots. John Wackeen was the cake and cookie general manager and was the guy that hired my dad, I remember a Sandy Roades and Ernie Sleet as supervisors for cake, and he mentioned a \"Tip Sullivan\", then an older gentleman named \"Art\" who was the bread supervisor at 62nd.
This was back when at any given time you would see many different trucks outside a store, with names like FOIX, Good Stuff, Weber\'s, Oroweat, Langendorf, Dolly Madison, Hostess, Millbrook, Thomas\', French American Bakery, Barbara Ann, Pioneer, and then also Barbara Ann, Di Carlo, Old Country, and Four-S outside of restaurants.
My dad is of the opinion that the begining of the end of the \"traditional\" route man was when the hand helds were installed in the trucks, he contends this is when \"account execs\" who knew little about running routes started to try and run routes from behind a desk. It didn\'t phase him, one time he took me along and had me keep pressing enter on his hand held, he said it was something about \"stupid carry-over\". He once told me that any good route man only used his computer to generate and print an invoice...As long I as I could remember, my dad always ran what he called \"lean\", he almost always returned to the depot empty, with very little stale unless there were some bad weeks in the summer months. He does agree with you, he says he enjoyed his years at Langendorf the most, followed by Dolly Madison. When Dolly Madison was bought by Continental he couldn\'t stand it and said that it all started to go downhill from there. He says he was lucky to retire when he did. |

Again, as I stated before, IF Bimbo grabs hold of IBC, I hope that you all keep your jobs, but historically, Bimbo is not the union\'s best friend. Bimbo quickly snatched up the Roman Meal franchise and is now marketing new Oroweat breads that look a lot like what Wonder, Millbrook, and Home Pride were, why would they NEED to distribute those labels when they\'re already crowding the market with their own versions? My money is on Bimbo wanting the Hostess Label and the Pomona bakery for private label production.
One other thing, I remember when IBC ran Weber\'s as a \"company\" and label, it was good bread, way better than Wonder, but under Bimbo, Weber\'s has become just another dry cardboard white bread full of holes, and it\'s made in Tijuana Mexico, yes, the label reads \"Distributed by Bimbo Bakeries USA. I am not an IBC \"shill\" but I have followed the baking industry for the past 30 years, my dad was a \"ROUTE MAN\" last of the \"old timers\" who didn\'t rely on his handheld to run his route. IF Bimbo gets a hold of the IBC labels (even if it\'s just the West Coast) do you think there will be a dovetail with their Oroweat division? My guess is Bimbo just wants the labels, why would they pay to keep a separate Wonder, Hostess, Oroweat, and Entenmann\'s truck going to the same store? (not to mention the Old Country R & I routes). Here at our local Albertson\'s an Oroweat RSR (in an Entenmann\'s logo truck) delivers the Oroweat, Francisco, Tia Rosa and Old Country labels, while another Oroweat RSR (in an Oroweat logo truck) delivers the Weber\'s, Thomas\', Boboli, and Entenmann\'s labels, do you really think they will want to pay for two more separate RSR\'s coming out of the same depot to service the same stores? For your guy\'s sake I would hope so but it would seem highly unlikely as they seem to be headed towards a company-wide independent distributor delivery system where the only employees are the executives, management, bakers, and supervisors. |

Company is claiming that it is the same cake as the regular zinger (with same upc) but are now advertising the fact that cake is 100 calorie per unit. Comment: IBC (Jung) keeps claiming that this company cannot continue to lose money yet in this part of the country they shut down 2 depots were important to this area.We now have one depot for the west, central,east and south of this big county.The fuel used for many of these routes in the east and south parts of this city has now at least tripled.Not to mention the extra wear and tear on the trucks plus the extra overtime involved just getting to and from routes.Meanwhile the 2 depots in the east and south just remain empty.If this is the kind of leadership and decisions we are going to get from Jung and associates then this company won't make it.What a waste. |

I think the talk of auction and looking at other offers is more a show of openmindedness than anything else. Rember the teamsters claim that Jung refuses to negotiate or listen to other proposals. Yet in court it was Volupe saying he would rather deal with Bimbo than Jung. If you look at facts introduced to the judge and not rumors Jung made all effort to listen and have an open mind while Volupe did not. I think the looking at offers comment by Jung was just in case he needed to ask judge to intervene in the contracts not actually to consider Bimbo. Also the major problem we have with production and transportation right now is the fact that bankrupcy and contract talks have made people lose focus on their jobs. As always the transportation drivers are much more emotional during contract negotations than anyone else. And currently the pay talks have the plant workers with a poor attitude. Once the BK has ended things will quickly get back to normal. Any time there are strike talks these 2 groups get emotional and drop the ball a little. Routemen are out in the field and have little time to discuss these matters and are not as emotional as the others. |

While yes bad mgt got us in this mess believe it or not Jung's plan will make this a healthy company without distributorship. The company prifits would be increased by still selling to these stops and no stale (smaller the stop higher the stale %) also most company profit increases in PTM would be this action combined with cutting back on pull up pay which is currently 50 + million a year. Now I know I sound pro plan but I want my job Jung is the first real business manager we have ever had, most mgt came from sales they can sell but cannot turn a profit mainly because that is not their area of expertice. I asked a lot of questions, questions that were not just from a union point of view but from a profit making view. SOMETIMES EMOTIONS CLOUD FACTS ESPECIALLY WHEN IT COMES TO CHANGE. There will be major consessions for our company whoever is running it. The only way to guaranty our senority and vacations/pensions we currently have accrued is to stay IBC all else is a gamble. Comment: To bimbo rules - you cannot be a owner/distributor of a route AND be a teamster. The union by it's own regulation is a combined representation of employees of a company that are non management and non ownership. ALSO the language in the contracts is why there is no severance pay issued. Now not all contracts are alike thats why you are hearing of some getting paid. This was not a slip of a pen this language is in all teamsters contracts but not bakers. If any court was asked to make a ruling on that language then you better hope we stay IBC and are not sold. If we are sold in liquidation or to Bimbo. Then the company will owe no one severance and may still not. The plan that IBC submitted to the court called for a payment to secured creditors only and nothing to unsecured debtholders and severance falls in the unsecured debtholder group. Also a buyer will pay the courts money to be distributed by a plan once again the severance falls in unsecured debts and will be paid little or nothing and the little would be paid last. The last big company I worked for out of more than 70K owed to me I got less than 200 and it took 11 years to get it. |

Notwithstanding severance language, employers are still forbidden by various state and federal laws from treating employee\'s different in terms of hiring, terminaiton, lay-offs, rate of pay, medical benefits, retirement benefits, drug screens and other legally banned substance tests and the like.
Therefore, if one IBC employee receives severance, IBC is obligated to pay each and every-like employee as well. Comment: "Rumors" from Ohio, If the compny is sold, the buyer buys all union contracts also. Distributerships are very unlikely because of the route averages being so low. But if that comes to pass the new owner will be putting out some serious dough no pun intended. Most states have laws in place stating that if your employer terminates your position (for RSR's creating distributerships) and you cannot accept the new position because pay is not equal to what you are use to making, the new owners will have to pay unemployement plus provide Insurance until you find a new job. On top of that if you require special training to get a job of that salary range they have to pay for your training. Don't believe me? Call your state labor board, My wife works for the unemployment office. |
