Maybe everything will turn out ok at IBC, I truly hope so but it is a gamble. One thing is almost certain, your time and senority will mean almost nothing. Benefits will go down drastically. The letter you receive is to request your attendance for a hearing which the judge will either approve jung's plan or the winning bid from the alternative proposals. I believe if you read the letter carefully, somewhere in there they should mention about the alternative proposal. It was mentioned in the disclosure statement. right now, no one know about the details of all the other bids. they are not publicly available. even the judge does not know about them. only ibc and a handful of law firms have those information. Apparently they do not want to disclose the names of the bidders to avoid bidders from joining forces to low ball the price. Remember the goal of the auction is to obtain the highest bid possible. More bidders will result in higher bid. The deadline for all to submit bids are 01/15. Then they will probaly disclose the names and details of the bidders. |

Comment: Paul I read the article, but it is just a reporters article. There are currently NO prefered bids in the courts hands.Rember Jung has to sign off on a bid before the judge can. IBC still has exclusive rights to accept or reject all proposal. HOW they managed to maintain these rights I have no clue other than they did show due diligence under Jung. The letter I have does not mention ANY other plan except the company plan supplied by Jung. The reason Jung wanted to see Ron's plan was to try to match the union offer and speed up his plan.According to the court letter the only thing on the agenda is to hear any objections and or approve the plan. Judge denies Interstate Bakeries’ request to require details from Yucaipa

A bankruptcy judge has denied Interstate Bakeries Corp.’s request to order Yucaipa Cos. LLC to fill in details of its offer for the bankrupt baking company by Jan. 3.
U.S. Bankruptcy Judge Jerry Venters ruled last week that such an order “would be wholly unwarranted,” given that IBC established the schedule for the submission of reorganization proposals.
“For that reason alone,” Venters wrote, IBC was “in no position to complain about the absence of bids or proposals at this juncture, and they are certainly in no position to demand that potential bidders be put under an expedited and totally unreasonable deadline because of their frustrations with IBT (International Brotherhood of Teamsters).”
The deadline for reorganization or financing proposals is Jan. 15. Venters has scheduled a Jan. 29 hearing on the proposals.
Earlier this month, Los Angeles-based Yucaipa and the Teamsters said they might team up to submit a “possible plan of reorganization” for Interstate. The two said they would work together exclusively unless and until Yucaipa, which is headed by supermarket billionaire Ron Burkle, decided not to submit a plan.
IBC, however, complained that the proposal failed to disclose crucial details. The company wanted Venters to terminate the exclusivity arrangement between Yucaipa and the Teamsters so that the Teamsters would be free to discuss a reorganization plan with IBC or other parties.
IBC, which filed for Chapter 11 reorganization in September 2004, has submitted its own reorganization plan, but the plan relies on concessions from the Teamsters union, which represents about 9,000 of its 25,000 employees.
Venters said that while he recognized that IBC and its attorneys were exasperated by the exclusivity arrangement between Yucaipa and the Teamsters, the union was “entitled to pursue whatever strategy it deems best and to talk (or not talk) to whomever it pleases, just as other party or concerned group is entitled to do.”
IBC shares closed Thursday at 1 cent, down 1 cent.

There are at least 2 members of equity committee who will submit separate bids for ibc. I am very surprised most of you don't know this. This is public information since october. |

Well what you said were correct because the judge already indicated that if there are no other bidders, he will approve the company's disclosure statement. However, if anyone can come up with a higher bid and or a different plan with higher value, then he will approve the highest bid. This is where people don't understand. The teamsters are screwed either way. If they submit a bid, they will be outbid during the auction because their plan does not demand as much concession as jung's plan or distributor plan contemplated by other bidders. On the other hand, if they don't bid, then the judge will approve the highest bid based either on jung's plan or any other business plan that gives the highest value. After winning bidder, after the auction can either request the judge void current contracts or better yet use the provisions in the current contract to impose concessions if jung's plan prevails or implement distributorship. The judge can void contract but he cannot force union to accept new contracts. The unions then can either accept concessions or strike. A strike is the only card left for the union to play. |

Comment: Today I received a letter from the bankrupcy court. It is ORDER AND NOTICE FOR HEARING ON DISCLOSURE. It states that on 1/29/08 there will be a hearing to consider approval of the company's plan and disclosure statement. The last day to file an objection is 1/15/08. What this means is anyone may file an objection but the only ones that have to be heard are the ones from debtholders listed in the disclosure statement. And normally the only one of thoes to give weight to are secured debtholders. The major ones have already sided with the company's plan. So unless someone jump's ship on 1/29/08 IBC will receive approval to exit bankrupcy under Jung's plan PTM and all concessions. The unions now have until then to try to negotiate a better deal or take the plan as is with Venters signature. While some teamsters claim this cannot happen Mr. Volupe nor Mr. Hoffa will tell you this cannot happen it can and will. The company is not dead and Jung most probably will receive approval for his plan. On the brighter side HAPPY NEW YEAR at least we will be out of bankrupcy. |

Here are the facts: 1) bimbo bailed out of yucaipa plan apparently because the plan is not workable 2) section 1113 of bankruptcy code allow companies to void union contracts 3) practically, unions do not have contract with ibc - read my previous posts 4) at least 2 hedge funds and non union competitors are bidding for ibc 5) pension liabilities can easily paid off by selling the routes when ibc convert into independent distributorship 6) ibc is very profitable if using distributors. Looking at the above facts, anyone can easily conclude that jung's plan is a long shot and yucaipa's plan is DOA - dead of arrival. Even boonville, a longtime jung's plan supporter no longer denies this judging from his silence. |

If they chose not to assume the agreement, then the previous contracts will return in effect. However, previous contracts already expire, therefore there is no contract at all if the company chose not to assume. Unlike what boonville said previously. There is no provision in the current extensions agreement that says that if the previous contract return in effect, its expiration date will be 2011 or the expiration of the extensions agreement. I am not bullshitting. I already gave you the document number. You can verify this information if you wish. This is the reason why the company never ask the judge to void the unions contract and impose concession and path to market on teamsters. I don't know if ptm will be successful or not. But it is probably the only plan that will keep teamsters employees, preserve pensions, and make creditors happy. On the other hand, if the hedge fund or sara lee or george weston take over, because there is no contract, they will implement independent distributorship and cancel all teamsters pension plan. half of the pension liabilities is due to teamster pension plan. The money they get from selling the routes will be more than enough to pay off teamsters pension liabilities. |

He was talking about the company's disclosure statement and reorganization plan and the court's approving it. If Yucaipa doesn't submit an acceptable plan (by acceptable I mean one that answers the questions required by the plan) or decided to back out altogether (like Bimbo did) the court has already stated that it is inclined to approve the Company's plan. Where does that leave the Teamsters? You need to understand something...no matter what yoou think, no matter what the Teamsters are telling you, no matter how strong you think unions are, their sole priority is protection. Protection of ther income, that is. The Teamsters are not going to just flush 9000 jobs and more important to THEM, the dues associated with those jobs. Stop and think for a minute how much money the Teamsters make annually from IBC alone. Unions are a business, too. As a businerss, the ONLY way you are of any use to them is if you are EMPLOYED. If IBC closes because the Teamsters don't want to agree to a contract, what use are you to them? Zero, because they won't be collecting dues from you any more. Face it...no one is lining up to buy IBC "as is" and keep it running, other than Burkle, IF he is really serious. If IBC is forced to close, the Teamsters lose the dues revenue from you and every other represented employee. There is too much liability for ANYONE to buy this company and continue to run it "as is". Grupo Bimbo WAS on board with the Teamsters/Yucaipa. It didn't take Gruo Bimbo very long to figure out that a) Yucaipa/Teamsters "plan" wasn't going to work, or b) the liabilities far outweigh the value of the company. Which do you think it is? How about a combination of the two? I posted on here TWO WEEKS before Bimbo's annoncement that they were not on board with the Teamsters/Yucaipa that they were going to do that. Do you think it was coinicidence that Grupo Bimbo met with IBC THEMSELVES (without Yucaipa/Teamsters) and told the Company they were not interested in buying IBC after being told about the pension liabilities? Grupo Bimbo ALSO (like oour creditors) liked the Path to Market plan. Teamsters/Yucaipa said that they would not change distribution. Meanwhile, Bimbo is working to change its own deliery system (independent distributorships). Now do you see WHY Bimbo pulled out? Hopefully you can now see why no one else will buy IBC. Only ones lining up are the vultures who want to pick the bones of the company if it dies. And picking the bones requires no purchase of liability, union contract, or employees. |

In reporting its most recent results, I.B.C. said its route sales, formerly known as wholesale operations, were $555,257,000 in the second quarter, down 5% from $581,775,000 in the same period a year ago. The decline reflected the company’s exit from the bread market in Southern California on Oct. 20, as well as unit volume declines.
"Our sales decreases also were the result of reduced demand for our products principally related to price increases, depth and frequency of our promotional activities, and the effects of a highly competitive market," the company said. "These decreases were partially offset by an overall unit value increase for the quarter and year-to-date related to our strategic price increases and product mix changes."

When the help knows more about running the business than its management does, then its time to leave for greener pastures, folks. Example: A truck driver sustains a work-related injury halfway through their workshift in California. They are required to finish their shift before seeing the company Witchdoctor. The Witchdoctor then exams and informs the injured driver they are now placed on light- duty-only work . The employer then creates light duty work for this injured driver to do and tells them to now report for work at a different location some several miles farther away in order to shred paper all day. The employer then informs this misrepresented and now injured Teamster driver they are to be paid at 80 percent of their normal rate per a new state law for injured workers and they are refused family leave laws because they failed to fill out the proper forms.
They are then threatend with job loss should they not report to work ASAP. Whats the facts, you ask? The facts are that the employer is lying about the new laws for injured workers on light duty. They do not exist! Family leave laws require only that the employee needs to leave work. Employers cannot ship their light duty employees off to other work locations simply to do light duty work in classfications they would not normally be employed or trained to do. Then we dont want to forget the Teamster contract, do we! How do you pay someone less who has a contract for more? Hiring idiots to run a business is not the pathway to success! |

Comment: OK, Dirty...let's see how well you do math.......IBC's valuation, also known as the "stalking horse"? 580 Million Dollars. Within that stalking horse is agreed-to payments for the creditors. Also within that plan is 400 million in post-bankruptcy operating financing. Vaule of the Yucaipa/Teamsters "proposal"? 580 million dollars...BUT Burkle gave NO indication in his plan regarding how he plans to pay off the creditors (a requirement of the plan) Burkle gave no indication of how he plans to deal with the pension liabilities (he HAS to accept them if he is buying "as is" with Union Contracts). No indication of what they are going to do with the distribution portion of the Company (numerous rumors here, though). Your own leadership said that you will have to take "significant concessions" but AGAIN< fails to let their own members know what "significant concessions" are. What if those "significant concessions" are significantly greater than what IBC was asking? What if the Yucaipa/Teamsters' "proposal" is to outsource transport? What if they want your vacation? What if they want MORE in wages, PLUS part of your commissions, PLUS additional medical contributions? You know what the worst part of this is? No one can argue that the Teamsters "proposal" doesn't include any of this, because they refuse to tell their OWN MEMBERS what it'll cost them for Hoffa/Volpe to be able to sit around stroking themselves saying they "won". |
