They had a Cakeman in charge and you guessed it ...Hostess made $ and Wonder didn't.Alvarez dropped the ball and when Jung came in he gave up on So Cal because when they let Cooper go they NEVER replaced him..for 10 months or so. But it did not lose money until SOAR came along and put the Glendale, Slauson, and San Diego plants and Glendale sales together with Pomona and Hostess LA. Comment: DD; Look at it this way...did IBC ask for the $1000 drag? Nope. Your International is prepared to give more out of YOUR pocket. That's not good representation. Your International publicly stated PTM will NEVER work...they would never agree to PTM. Yet they agree to PTM. Now look at it from the company's perspective: lets' say 3500 RSR's give up the first 1000 drag. At an AVERAGE of 9% commission, thats $90 per RSR, at 3500, that's $315,000/week. At 52 weeks, that's $16,380,000. Which SEEMS like a large sum of money, UNTIL you figure out that in retrun for that sum, the Union demands 15% EQUITY in IBC. At the CURRENT valuation of IBC at 580,000,000.00, "15% equity" is equal to 87,000,000.00. How crazy would IBC have to be to be willing to give up 87,000,000 in equity for a little over 16,000,000 in "savings" on the drag? Now, let's look at the implementation of PTM: I'll bet we could find at least 100 RSRs company-wide, who have 25 years of service, right? Each of those RSR's would be entitled to $600 per year, or $15,000, at 100 RSRs, that's $1,500,000. It would cost IBC that much and MORE to replace 100 RSRs, train them, and have them up to the speed of the 100 employees we would lose. That shows you BOTH sides of the spectrum...how your Union is trying to "give" more than the company asked for, and how the Company is viewing that proposal.... |

We are saving money on wages with the wage cuts BCT took. There is also significant savings forecast in PTM. Do you recall that Craig Jung indicated that he needed roughtly 60 million from the Teamsters and BCT? 20 mil in benefits costs? While the majority of BCT's savings ARE being realized, the majority of IBT are NOT, because of the current situation. there are measures already being utilized and measures yet to be utilized that will affect those losses each month. without those measures ALREADY in place, those losses would have been greater. Comment: The only way ibc becomes profitable and leaves bk is to implement independent operator business model. Even ptm will not save ibc; they will reenter bk again. When jung proposed ptm 8 months ago, price of wheat is only about 1/2 of what it is today. Even with the closing of southern california, and a smaller revenue base, the ingredient cost is higher now than 8 months ago, eventhough labour cost has decreased significantly. ripplewood's plan will save ibc about 40 millions a year whereas jung's plan will save about 65 millions, these will not be enough when ibc is losing 10 millions a month. My bet is that jung will sell ibc in parts or propose a diffirent business plan that will include independent operator business model. |

Watching IBC struggle is like watching a sibling in hospice. At some point, you realize that the pain will only be relived with the passing.
Brother’s I wish the best for all of you. In my opinion, the company is using your membership to fund their bailout. In the past, companies have hit the “working man”, to fund their bail-outs. How many times have we witnessed a successful turn-around? Most companies leave the employee’s holding the bag, as they leave town with their pockets full, and promises unkept.
If the company was making drastic changes, and changing the way they run their business, I could almost see the gamble. All I see form IBC is coming to the table (a second time now) and asking for relief. Do you think they won’t be back to the table again? They can not manage their business, they have proven that. At what point do you hang your price gun up, and go work for someone who can manage their business?
When your competition was bleeding, they raised their prices, eliminated headcount, and maxed out route structures. Their management flexed their expenses to match income. IBC should have taken the short term pain, a long time ago.

Comment: JOHN: I am privy to the majority of discussions taking place regarding the future of IBC. As I said, Silver Point, Ripplewood, and IBC are working toward getting something done to save IBC. The problem with the whole scenario is that it will require extensive review of how it will affect our current business plan, which in all likelihood, with Ripplewood's additional cash investment, should be positive. The potential cog in the whole thing is still the Teamsters....as I pointed out before, there are "items" contained in Volpe's proposal that have to be looked at...their economic impact on the business, and how those items affect the Company's ability to maintain a positive cash flow. The devil is in the details of the proposal, and how far the Teamsters may or may not be willing to modify the proposal. As it is written, though, there is slim chance that IBC would accept it. However, could it be modified to the satisfaction of both the Teamsters and Company? That's what they're discussing. I believe that somewhere in between Volpe's proposal and the Company's proposal is a landmark where both can say that they are satisfied with the results. It's just too bad that it had to wait until the 11th hour to be discussed. The other clear issue that has to be addressed is the vote of creditors on the company's business plan. We still require official approval of the business plan in order to move forward. Unfortunately, I don't think that anyone is going to hear anything concrete until just before the April 23 hearing date. I cna tell, you, though, that unless there is a "deal" in place that IBC can tell the court it only has to put the finishing touches on, there isn't going to be another extension. The Company has to be prepared to tell the court on the 23rd either it's a "go" or "no-go". I believe that if IBC can get agreement witht he Teamsters done by the 23rd, you'll see a couple of things happen: a recommittment on exit financing, and an extension of DIP financing designed to get us to the emergence date, which would probably be in the second fiscal quarter of 2009 (Sept/Oct/Nov timeframe.). |

I felt this tractor was unsafe for our highways. I talked to supervisors about this incident. Ron Durbin and Dick Coutcher started following me 4 days later and fabricated a story that I stole time. I have since proved that they lied. Now I am waiting for my arbitration date of April 11th and then onto court for I will be seeking damages. As for junk trucks, I lost my son in June of 2006 due to a junk semi. I do have a court date on that , as well, of August of 2008. Junk equipment kills and management lies when they want to terminate you. |

Company is still talking with Silver Point and Rippleood, but have not heard anything this week as to how talks are going, what ripplewood's intentions are, etc. It's actually been pretty quiet on that front this week. What contract are you reading? The one the 135 voted on was a $15 increase for the extention agreement, which ends in 2011. There is another $15 increase for the modification agreement, which goes from 2011 to 2014. I was curious where you came up with the $115. All together with our current $20 in insurance premium payment I will pay a total of $50 in 2011. If you can find a better premium with better insurance with a defined benefit plan (ie; your pension) I would suggest you quit and go for that job.
Also there was mention of the loss due to the $1000 drag. Has any body explained the reduction and elimination of the drag when the company comes to profitability. At $300 million profit for the year the drag disappears plus you get a profit sharing dividend check. The 15% equity goes into an account for you and you recieve that upon your retirement or termination. This is a decent deal. I could care less how you vote, but be aware there is no better offer. |

Comment: Mr. Boonville, I must appologize. I didn't respond to your issue of the independent contractor model for route sales. Let me explain the "truth" as to why Craig Jung did not do the contractor model. It has to do with extreme liability (ie;IRS,NLRB...) IBC was already sued and lost in Washington state for overtime violations to commissioned based routemen. FEDEX was just fined $319 million for it's illegal misclassification of contractors. The NLRB awarded $250,000 to 8 contractors in Maryland for violations of section 7 of the National Labor Relations Act. FEDEX has lost civil suits in California and is under a class action in nothern Indiana. The list goes on, but I think anybody with any sense will see the "truth" to the reason why IBC chose not to go forward with this model. Thank you for responding to my post. |

Comment: Dear Mr. Boonville, Local 135 members already voted on their "concessions" . I was the alternate steward for the transport drivers and was very pleased with the modifications that the Teamsters proposed for my classification. I have worked for union and non-union shops. I see the $15 dollar increase in healthcare (til 2011, than another $15) as minimal. If I still worked there I would stand to continue to get my regular raises under the extention agreement, also I willrecieve 2.5% (approx. $.50/hr) per year of the new modification. I currently made $17.15/hr and after raises will make around $20/hr. Not to shabby. Plus a profit sharing program and a program for payback to the routemen for their $1,000 drag. Plus a guarantee that Teamsters will continue to do Teamster work. This is much better than Mr. Jung's plan of outsourcing my position. Could you explain how having Teamster positions with raises and job security is worse than Mr. Jung's proposition that the Teamster jobs be replaced by lower paid non-union contractors? Remember this, I have worked in non-union shops as well as union shops. I was paying $125 per week for insureance that had a $3,000 deductible. It seems as if you are bound and determined to steer these poor fellas away from reality. These modifications are appropriate, even though I can contend that the modifictions should have been spread more equitably. For example, the thrift and office workers are going to take the biggest hit to their checks percentage wise (since they only make about $12/hr). I do know why they did hit the routemen the hardest. It is due to the fact that they are the largest number of employees in the company. By the way if you tend to think I do not care about the routeman, I must inform you I was just brought back on as an extra man running route trucks. |

Comment: If you were right Boonville and Mr. Volpe only cared that it was only about dues, the IBT would have not objected to the original offer from IBC. The IBC proposal has so many things in it that reduces the union to nothing. Proposals that deal with everything but cost reductions. Mr. Jung knows that a union has little bargaining power with a bankrupt company and has tried to use this leverage to basically throw the CBA in the garbage can. He is not dumb, as he knows that this would never be accomplished with a level playing field. That is why you are on here so much bashing the proposal from Mr. Volpe. IBT members need to realize that while the IBT deal may be harder to "swallow", all of the cuts and concessions are CLEARLY spelled out. There is no hidden agenda with the IBT proposal. You keep saying that IBC wants less in their proposal but the IBC deal cuts much deeper than the PTM and $$ concessions. IBT members need to make an informed decision. Pull up the original IBC offer and the IBT proposal and compare them side by side. While the drag will hurt, at least the guarantee is in the IBT deal that these jobs will remain the work of the IBT. Can Mr. Jungs proposal guarantee that? |

Comment: Why is everything contingent on emergence and not on profitability (ie;bonuses)? Anybody can emerge from bankruptcy. It takes a real manger to turn to profitability.
Also, I keep reading Mr. Boonville talking about labor costs being the biggest cost to IBC. Labor costs are the biggest cost to any company, union or nonunion. Plenty of companies have pension liabilities, but they choose not to pay out bonuses that would destroy the very company that they recieve their own income from. The MIP bonus, retention bonus, Equity Bonus, Appraised Value bonus, the immediate vestment in stocks for Mr. Jung alone are certainly to be valued at close to $80,000,000 if the reissued stock is set at $1.00. If the stock comes out at $.05, this would still be $5,000,000. The immediate vestment also troubles myself, since he can dump it immediately. This reminds myself of Governor Mitch Daniels and his dumping of IPL stock and all the employees lost their life savings in retirement.
I also have something to say about the Teamsters and their progression through this entire process. I commend them for their effort. If it weren't for their steadfast commitment to "protect their dues" many workers would have either lost their jobs or would have taken extremely deep paycuts. Loss of pensions and decent healthcare would have been certain. The inability to address worker maltreatment through a valid grievance procedure would most definitly lead to worker abuses.
I could state a lot more, but I would like to take a moment to thank the very union and co-workers that have created a great moment in solidarity. I was laid off, but am still very much pro-union!!! I thank the Teamsters everyday for the ability to have decent healthcare and an ability to grieve maltreatment. Many may have bad words for the union, but if you take one moment to think of the consequences if you were not union. I also would like to commend most of the management for a decent work environment, while there are certain things that can be improved and the business is run very inefficently, I believe the workers (management included) are good people to work with. Comment: DENVER: So, in your estimation, Ripplewood, a company who is known for taking over companis to try to salvage them (and admittedly, has a decent track record of doing so, but has never worked with a company as large/complex/has as high a revenue as IBC) decided to "talk" to Bimbo/Yucaipa, a potential opponent in a bidding war, AND one of the largest baking companies in the country, and determined that they didn't need to perform due diligence on IBC, based on the words of one company who BAILED on the plan, the word of another who had a partner BAIL on them, and after almost two months of their OWN due diligence, was UNABLE to submit a reorganization plan, and the word of Richard Volpe. Evidently, your managers have not passed on the latest information, as IBC has been talking to Silver Point regarding the 12 mill payment AND a new financing package. There has been no indication from Silver Point that they are unwilling to address these issues. Can you grasp the concept of a domino effect? Do you think that quite possibly, the quality of our products that you complain about are the result of HIGHER ingredient costs, FORCING us to look at alternatives, simply because we cannot sustain another price increase? As for the "name" hing, do you recall what "name" wa used by Bimbo/Yucaipa in their documents before the Court? Does "New Baking Company" ring a bell? Face it...when Volpe announced that he had a "tentative agreement with IBC" is was done for one reason: Volpe felt that by bringing Ripplewood in, he could "force" his "agreement" on IBC, that IBC would agree out of hand to the package, just because he was bringing "another investor" on board. IBC was under no obligation to accept that proposal, and Volpe knew this. As for Labor Cost, you're right. But you also have to understand that Labor Cost is one of the few costs that IBC has the ability to CONTROL. And that is what IBC's proposal to the Teamsters was designed to do: control labor costs. When Companies go into bankruptcy, since Labor Cost is he primary cost that can be controlled by a company, that is always the first thing looked at. And unfortunately, the end result is normally loss of jobs through downsizing, right sizing, or attrition, and reductions in pay/benefits to the employees. |

Comment: DENVER: 1) Yucaipa/Bimbo did extensive due diligence on IBC starting in Nov. 07, and by Jan 15 were STILL not ready to present a competing reorganization plan. So Ripplewood is going to prepare a plan, negotiate with creditors, receive terms acceptable to the creditors, AND do all this by April 23? Jung asked for a continuance because since the TEAMSTERS continued to play their games, it was the ONLY way for IBC to be able to investigate a) Volpe's proposal and b) Ripplewood's intentions. You could hardly blame IBC for being skeptical of anything the Teamters are doing, given the time wasted with Billionaire Ron and their inability to advise BIMBO of ALL the issues facing IBC. I posted two weeks previous to Bimbo's withdrawal that they were doing so, after being advised by IBC MANAGEMENT of the pension liabilities. 3) Were you at the meetings between IBC, Ripplewood, and Silver Point that have been occurring over the past two weeks that you have inside information on how to classify them? If Ripplewood were a potential "buyer" they would have to be identified as such by the Court. 4) So Ripplewood is also "buying" the rights to the Company's name, huh? So where have they filed their Articles of Incorporation stating so? To be identified as such, they have to do this. 5) The Company's Reorganization Plan, Disclosure Statement, and Business Plan were all presented to the creditors PRIOR to submission to the Court. This resulted in IBC's Plan being submitted with the APPROVAL of 95% of the creditors. Those 95% are more than enough to insure a positive vote on the plan. 6) Do you think Ripplewood is really prepared to "buy" IBC for approximately 600 million IN CASH, agre to settle ALL debt in cash, and then agree to accept 950 million in pension liabilities? Do the math...... 7) Again, do the math....a non-union facility, with a different benefit plan, no union pensions, a different pay scale, different work rules, and no labor contract could be run for potentially 1/4 to 1/3 the cost of IBC's current labor costs. Additionally, in a sale of the company, it could potentially be sold for more piecemeal than it can as an entity. You don't get it....you still refuse to understand, accept, and acknowledge that our LABOR COST is the number ONE cost fr this company. You really think any potential buyer is even remotely interested in acquiriing those labor costs? |

Comment: The one thing Mr. Booneville has failed to mention is that the Western States Teamsters Pension Fund is fully funded.(98.8%). I think Jung closed Wonder SoCal to make the west coast look unattractive to any buyer. Don't give me this crap that SoCal was losing money,on paper you can make anything look bad or look good.IBC was doing this with the books before the BK. The sales dollars were real,I didn't know of a route that was doing less than $6000+ per week. Our depot had 7 bread routes with a weekly average sales of over $90,000 combined and we were never the top depot. What has closing SoCal done for the Company? Comment: The major problem with this company is Kansas City doesn't have a clue what is going on at the local bakery level. every Bakery Manager has their hidden slush funds for taking care of their boys. Company Cars are just a small example. G.O. comes out to go on the market and the stores are stuffed everything in stock temporary displays that have no hope at all of selling are scattered throughout the stores and everything is mop and glow baby. When the returns should come back you are instructed to buy the product back and transfer it out to cyberspace so it won't affect your return percentage. These things go on at every bakery and has gone unchecked for my entire career at this company and untill G.O. starts making local management accountable they will go on forever. |

Comment: No, HODGKINS< they don't go away. IBC is still responsible for them. Go back and look at the Equity Committee's objections to the Plan. You will see where they listed in their objection that they feel that IBC did not do enough to control labor costs. One thing they questioned? Pension laibilities. Equity Committee wanted to know why none of IBC's proposals to the Unions addressed the pension liabilities. IBC was able to convince them that if we could emerge, IBC would be able to take care of the pension plans and keep them intact. There are alot of things that went on that eople are not aware of that would make you think otherwise about the "screwing" you thought the Company was trying to give you. Like I said, go back and read some of the objections to the plans...it'll educate you to just ho much IBC was trying to protect the union jobs |

When did the court determine that Ripplewood's plan provides greater return on value for the creditors? I would suggest you understand the difference between the words "investor" and "buyer". Ripplewood is a potential investor NOT a buyer. Before you try to attack others, you should make sure you have the facts straight. Why would you be voting on a conract titled as an extension agreement between IC and Teamsters? You see, unless and until Ripplewood BUYS IBC, they have no right or standing, nor does IBC have to accept the Teamsters' proposal. And if Ripplewood is DUMB enough to buy IBC as an entity, they have to come up with a TON of $$$ to be able to do it. IBC worked out terms with the creditors that involves NOT paying cash on all debt due. The creditors are not required to extend those same terms to Ripplewood, and probably won't, meaning Ripplewood has to be prepared to settle the BK debt in CASH. On top of that, Ripplewood has to be prepared to accept the pension liabilities of over 950 million dollars. If Ripplewood were to choose to wait until a liquidation sale, would you please explain to me why they would WANT unionized labor and its attending higher cost? They do not have any stickers, nor were any available to us, just plop them on the shelf and hope that people pick them out of the myriad of products available. How is this that we can conceive these products and not think about selling them? We get banners and sign all the time in our depot, "Sell Bread, Make Dough", "Score Big Sales", but can we get any P.O.P. signs; No. Who the hell is running the merchandising and sales end of this company? Comment: RSR IN LIMBO: As far as the Company Car program...if there IS one, it is being done on the side, without UPPER Management's approval. Like I said before, I do not condone any employee breaking company policies, whether they are a member of management OR a unionized employee. I am not in the Northeast, or the Southeast, where the posts concerning the company cars came from. I do nt know the particulars, nor do I really want to, because my plate is full enough right now. That is why I advised posters to go to the EthicsPoint web site. It permits an opportunity to make these kinds of things known, and more importantly, provides the person reporting an opportunity to remain anonymous, if they choose to do so. Complaints are received by an independent company and forwarded to Leonard Singer, who either assigns them to an outside attorney to investigate, or passes the investigation on "in-hoouse" to be handled. If a reporter lists themselves as anonymous, their identity never becomes known. I've seen the system work, and it works quite well. And for your knowledge, LIMBO, I have walked a mile in an RSR's shoes. Part of my education to IBC involved spending time with ALL parts of the company: operations, sales, distribution. I have run routes, I've run routes in both good and bad weather. I've worked in Thrift Stores, I've worked on the liines making product, I've worked in the shipping department. Do I know everything there is to know about being an RSR? Nope. Don't claim to. But I do have enough of an understanding of the job to be able to intelligently talk about it. If some of the "things" you see don't make sense, ASK someone about them. Find out what is going on. I've come on this board for the sole reason of getting people to THINK, ASK QUESTIONS, and UNDERSTAND. This involves checking bar codes against existing information and adding new codes if not present. Sounds like your bakery is just a little late getting started on the process. As far as your "hoping" for new owners....don't hold your breath. Keep in mind that if any facility is bought, it's going to be bought during a liquidation sale. Comment: MS. TRANSPORTS: The way it should be set up with comany vehicles is basically the way you are saying it. Bakery Managers who have more than one bakery; Market Unit General Managers, Business Unit-level Directors; and Corporate VP's are the only ones who should have a company vehicle. Pool vehicles should be available at the bakrey for HR to travel to varius depots, thrift stores, etc; for Maintenance to run errands; etc. Pool vehicles should also be available at depots for DSM's to use to get out n the market, for Route Builders, Merchandisers, Account Reps to get out on the market. But pool vehicles shouldn't be being taken home by anyone. |

Comment: Yes, Boonville sleeps...usually between the hours of 11P and 6A; and Boonville works, usually 7:30-6:00 Mon thru Fri; usually from home on Sat/Sun. Boonville also comes on site when traveling (down time and lay-overs at airports,) and during his lunch breaks. Do you people worry as much about your own jobs as you do about whatever anyone else is doing? There appears to be alot of that here... |

Comment: Misuse of company cars is an old CBC problem- remember when Nick Sachetta stole 200 company cars a year? Then there was the bakery 143 garage manager who put a company Econoline in the river trying to pull his boat out. Most of these supervisors have no need for a company car. If they ever needed a company car, it should be parked at the company facility, not taken home- the supervisors can well afford to buy there own cars! |

Comment: I'm not a snitch either but I see a lot of stealing going on when they thinned out the division managers they have to cover 2 or 3 depots so they can't contol depots guys are taking advantage of this. boonville does jung have a plan to hire more managers to control this problem when there was a manager there every day this did not go.just can't see letting inmates run the prison you need somebody there some managment not just showing up every other week... |

Comment: DIRTY: Look back through bankruptcy motions by IBC about 10 or 11 months ago. You will see where they cleared the leases on certain vehicles. The leases were written off and IBC took possession of the vehicles. When the Sales restructuring took place there were numerous Division Sales Managers who had cars, as well as the Area Sales Managers. When they took the Division Sales Managers out and made them District Sales Managers, as part of their compensation (they went from commission sales to straight salary) those cars were given to them as part of their compensation package. They are now the owners of the cars, they have to pay for the plates, maintenance, fuel, etc. for them. |
