This does not apply only to ibc but to any other companies in bk. Even if ibc is liquidated, DIP will be paid in full, that is a guarantee. It is paid in full even before the lawyers. Read about their liquidation analysis dumb ass before you post anything. Exit financing is debt after company exit bk; DIP financing is debt during bk. The very first liquidation dollar will be used to pay dip financing. As long as ibc asset is larger than dip financing, the lenders will be willing to lend ibc money because they know they will get their money back and at the same time will be paid very lucrative fees and high interest for providing dip financing. As you can see, it is totally possible and very likely the case that silverpoint exit financing is dead if they believe investing in the new ibc will not earn good return while they are still interested in providing dip financing. |

The Kansas City-based company (Pink Sheets: IBCIQ) asked its lenders for more money on April 2. Judge Jerry Venters approved the requests Tuesday.
The company also has asked for indefinite postponement of a hearing to confirm its plan to reorganize from bankruptcy.
IBC, known for Wonder and Hostess brands, filed for Chapter 11 bankruptcy in September 2004.

Before selling your bakery to anyone, it would have to be approved by the court. also, if you look at the DIP Financing Agreement as part of Venters' ruling on the amended DIP Financing plan (kccllc.net) you will see that there is also a stipulation in that agreement that requires IBC to receive Bankruptcy Court approval prior to the selling of any asset considered to be beyond the "normal course of business". Selling of a bakery or a sales market area would be considered to be beyond the "normal couse of business". Comment: Interstate Bakeries Corp., with the blessing of the U.S. Bankruptcy Court, Tuesday received more time and more money to continue its attempt to reorganize.
Approval was given to a new financing agreement, which includes lenders new to the group providing so-called debtor-in-possession funds. This agreement expires Sept. 30, an extension of nearly four months from the June 2 date for the agreement it replaces.
It also increases the amount of money available to IBC, to $250 million from $200 million.
U.S. Bankruptcy Judge Jerry Venters said Tuesday after a short court hearing that he thought it was appropriate to give the wholesale baking company more time.
“I believe it’s proper and appropriate to do, to get us down the road to see if we’re going to have some sort of plan,” Venters said.
Interstate Bakeries is one of the country’s largest wholesale baking companies and produces such brands as Wonder bread and Hostess snack cakes. It has been under bankruptcy protection since September 2004.
Among those now providing debtor-in-possession financing is a division of Silver Point Capital L.P., which previously committed to providing IBC with up to $400 million in post-bankruptcy financing. That Silver Point affiliate is providing $82.5 million under the new lending agreement.
Interstate has filed a plan of reorganization that has been voted on by creditors, but says it needs more time to modify the plan as it continues talks with undisclosed parties it says are interested in investing in the company.
No date has been set for a hearing for IBC to disclose any modifications to its plan.
IBC has said if it is unable to craft a successful plan to emerge from bankruptcy under its current management, it also has been working on plans for an orderly liquidation of the company by selling it whole or in parts.

Haynes Interantional (USWA=$25/hr), Mitsubishi in Illinois (read the billboard on I74 UAW). Sysco foods (Teamsters), Kroger (UFCWU), Etc...
If you blame the union for spreading the wealth, it is because you want to hog it for yourself. Unions are not there to destroy companies, but to spread the wealth. CEO's today make upwards to a 1,000 plus percent more than the workers who support their company. There is a mentality today that a worker does not desreve a fair day's pay for a fair day's work. After 41 years of dedicated service, Larry Worley, Upper Midwest Business Unit General
Manager, has decided to retire from IBC, effective May 31. Larry has been a dedicated
leader during his tenure at IBC, and his sales acumen and customer relations skills have
always helped IBC in the markets he’s served. His unwavering focus on the basic
fundamentals of our business has made him a leader in all the key attributes of IBC. We
thank him for his contributions and wish him the very best of luck as he takes up more
leisurely pursuits.
As a result of Larry’s retirement, Rick Krause, Vice President - PTM, has accepted the
Upper Midwest Business Unit General Manager position. Rick has worked diligently during
the past year to position our Path-to-Market program for success upon implementation, and
he’ll bring that same energy and talent working closely with Larry through May to ensure a
smooth transition.
Additionally, Tom Wilson, Northwest Business Unit General Manager, has decided to
leave IBC after 29 years of service to pursue other opportunities. We want to thank Tom for
his excellent service and leadership during his years with IBC, and wish him luck in his new
endeavors.
As a result, Bob Morgan, Senior Vice President – Customer Strategy, has agreed to
assume the Northwest Business Unit General Manager role on an interim basis to ensure we
can continue our momentum in this area of the country. Bob has been serving in the strategy
role for about a year, and before that spent several years leading sales efforts in different
areas of the company. Bob will leverage his past IBC sales leadership experience to enhance
sales effort in the Northwest.
Finally, I’m pleased to announce that Jim Goers will be joining IBC as a Vice President
Designate, reporting to Jane Miller, Chief Customer Officer. Jim brings more than 20 years
of sales, supply chain and marketing experience to IBC, mostly focused in the consumer
packaged goods arena, including spending a majority of his career at Kraft Foods. At Kraft,
Jim was instrumental in implementing aggressive growth strategies that helped Kraft execute
retail excellence and gain market share across 60 product categories. At IBC, Jim will work
on a variety of projects to immerse in our business before being assigned a permanent
position.
Please join me in wishing Larry and Tom best wishes on their future, and providing support

They can then return some of the profit they make into making their products better. They dont have the HUGE cost of delivering the product to the consumer anymore. As far as naming anything beneficial the union has done for the company, I don't believe it's the union's purpose to necessarily be of benefit to the company but to enable the employees to have a say in their employment pay/benefit packages and working conditions. I agree that some unions have become too powerful and greedy and created many of their current problems, however now the problem has become the corporate executives who are greedy and raping the companies they head and sailing off in the sunset at the expense of the employees. Quite frankly I believe that spreading the wealth among the many is in the best interests of the US economy. Yes, the corporations have learned how to defeat the unions(their employees) but when the majority of the US population is working at low pay, no benefits jobs, if you think Social Security, Medicare and healthcare are serious problems now, you haven't seen anything yet! Although I am not union, I believe they are a necessary evil to maintain the US standard of living and eventually will have a resurgence other than in the public service sectors. Go ahead and cut them down while you have the opportunity.

Unfortunately, they are forced to join the union in most states and then are somewhat influenced by the BS spouted by almost every union rep that I have been exposed to as both a union member and a management person. Are there union reps who do not spew absolute nonsense or unspeakable obsenities every time they open thier mouth? Not any more. Used to be some but not any more that I have seen (and I've seen plenty). I have also seen a large number of friends, children of friends, acquaintenses, etc. who are working in non-union positions - not management - who make a very decent living, have very reasonable benefits and get along just fine without some thug speaking on thier behalf or dictating what they should earn. Of course, most of these individuals - but not all - have attained some level of education - like a high school diploma and know how to express themselves in a rational manner without the obsenities seen displayed by many on this board. |

In that reorganization plan, ibc does not plan to pay the secured creditors and unsecured creditors any cash. 100 millions or so would have been given to the unsecured creditors in new stocks. Add them together, and you come up with what? 500 million? DUH. Now...on to other points: do you recall IBC's reorganization plan? Do you recall that it contained a combination of cash/stock to pay off debt? Where in the hell did you think the money to pay off the "cash" portion of that debt was coming from? It is simply a tool management is using to circumvent laws prohibiting direct negotiations with the union members bypassing the union leadership. Judging from some of the posts on here it is apparent that he has had some success in causing union discord. I'm not saying the behavior and some of the comments of the union leaders have been real intelligent but just remember that historically management is more than eager to cause union discord however possible. Most everyone knows that the elimination of the union is a major goal of this and many other companies. Many have been successful and this will probably be no different. |

The Company' request for an extension prety much said it all...continue to work on the two pronged plan of emergence from bankruptcy and orderly sale of asset if we can't emerge. The $$$ figure now being tossed around for exit finacing is around 500 mil. Interstate Bakeries Corporation (IBC) (IBCIQ) today announced that it has executed a commitment for financing with certain of the existing lenders under its current debtor-in-possession (DIP) credit facility, other new lenders and JPMorgan Chase Bank, N.A., as administrative agent and collateral agent for the lenders, that provides for an amended and restated credit facility to replace the current DIP credit facility, which expires on June 2, 2008. Under the terms of the commitment letter, the maturity of the DIP credit facility would be extended to September 30, 2008 and the amount available for borrowing under the DIP credit facility would be increased from $200 million to $250 million.
The commitment is subject to a number of conditions, including final documentation and Bankruptcy Court approval. Today, IBC filed a motion with the U.S. Bankruptcy Court for the Western District of Missouri seeking authorization to enter into the amended and restated DIP credit facility and requesting that a hearing on this matter be held on April 29, 2008, a date that had previously been held on the court’s calendar. There can be no assurance that the Company will be able to obtain financing on the terms proposed in the amended and restated DIP credit facility, or at all.
The Company also announced that it has asked the Bankruptcy Court to continue its plan confirmation hearing, currently scheduled for April 23, 2008, to a date yet to be determined. The Company said that additional time is necessary for it to continue its ongoing discussions with multiple parties regarding modifications to its plan of reorganization, and related exit financing, that would allow IBC to emerge from Chapter 11 as a stand-alone company. This additional time is also needed for the Company to continue to pursue the on-going sale process which was initiated to sell all or portions of the Company’s businesses and assets in the event that a stand-alone reorganization plan is not achievable. The Company intends to file further pleadings with the Bankruptcy Court regarding either of these options as appropriate.

Comment: To "never work pull up for free" What you and your radical union brothers don't (or won't) see is that the continual addition of personnel to get the same job done is the largest part of the problem that IBC is facing - a very labor intensive method of distribution. Just do a comparison of what the company has had to resort to in order to get bread sales; RSR's used to load their own trucks, now most depots have loaders for more than 6 routes. RSR's used to stay on their route for at least 45 hours (or more) believing that the last guy pulling up product in the class "A" stores was the winner. Now it is throw and go and let the pullup guy worry about it, just get throught the route as soon as possible. What you do not understand is that if the product in my stores is not merchandised properly it may not sell and that reduces my commission. The pullup guy has no investment in increasing sales - but I do. The pullup guy has no interest in developing a sales relationship with the store managers on my route - but I do. The pullup guy has no interest in seeing that product is rotated properly and any damaged is removed from the shelf - but I do. You, and those with your attitude are truly not Route SALES Representatives, you are just truck drivers and should be driving for UPS or Fed-Ex, not a SALES company. It is a shame that so many of you got hired and made it through the probation period before you showed your true colors. |

One problem I have noticed is the left hand doesn't know what the right hand is doing. No one wants to share what is going on with this company and they did not disclose this when I was hired that ICB was bankrupt. I am out to make the money keep the clients happy but upper management has confused the hell out of me . They can't make up there mind how they want things done. It's done one way or the other.
One thing upper management needs to take responsibility and not blame people below them for there faults. Suggestion bend over when you hear a loud pop that is your head popping out of your butt . Get with it people make a decission on this so we all can go on make our $$ and support our families . I will continue to do my job but stop playing ming games with your employees . Comment: KANSAS CITY, Mo., April 22 (Reuters) - Interstate Bakeries Corp IBCIQ.PK, the bankrupt maker of Wonder Bread and Twinkies snacks, said on Tuesday it has negotiated a new $250 million credit facility that extends the struggling company's key financing until Sept. 30.
The deal with a group of lenders led by JPMorgan Chase Bank provides for an amended and restated debtor-in-possession credit facility to replace the current $200 million "DIP" credit facility that expires on June 2. The new facility would be extended to Sept. 30.
The commitment is subject to a number of conditions, including approval from the U.S. Bankruptcy Court for the Western District of Missouri. A hearing on the matter is slated for April 29.
Interstate Bakeries has been struggling to come to terms with the International Brotherhood of Teamsters, which represents about 9,000 of IBC's estimated 25,000 workers. Without union support, the company has been unable to complete a reorganization plan.

I have noticed that it was easier to hope and believe that there was a turn around iminent, but all I see is upper management bent on "emerging" for their emergence bonuses. Booneville, all the information you give is worthless, since you are not going to working much longer. An extra $50 million is nothing but a drop in the bucket for the corporate world. I believe the only people that are truely in the workers' corner is the Teamsters at this time, since they are the only ones that have a vested interest in the workers (dues and pension income). I just don't see any use in listening to anymore of the ranting from Boonville, Craig Jung, or any other bullshitter out there. If anyone was truely interested in turning that company around, they would have done it by now. Not one of these upper managers have come into the plants and changed any of the waste. Comment: Just wondering. I'm with you on this. We never considered it to be "working for free" as was suggested. We were paid on COMMISION so anything we could do to boost sales added to our checks. The additional time spent was appreciated by the grocers also and made getting additional space for promotional items much easier. I guess the rsr mentality has changed now and we have mostly delivery boys whose only interest is how fast they can get done. The current condition of the company reflects this "new" rsr mentality unfortunately. |

Yep, there's likely to be another extension, probably for sixty days, in order to make sure everything is in place. And yes, the Company is moving toward agreement with the Teamsters and Ripplewood. Discussions are now centering around the language of the Teamsters' proposal, and what their expectations are. You will probably see minor modifications to the proposal, but it will esstentially close to what the Teamsters proposed. The addition of a new investor bringing cash to the table necissitates some modification of both the business plan and the plan of reorganization, but all modifications should be for the better. |

Interstate Bakeries Corp. said it wants more time to come up with bankruptcy reorganization options, and its lenders seem to approve.
The Kansas City, Mo.-based baker said it has asked the U.S. Bankruptcy Court in Kansas City to indefinitely continue a hearing that would confirm a plan for its exit from more than three years of Chapter 11 bankruptcy. The hearing had been scheduled for Wednesday.
The company's Interstate's Butternut Breads division operates a bakery plant in Queensgate, as well as 16 Butternut and Wonder Bread/Hostess outlet stores in the Tri-State.
Interstate said it needs more time to continue ongoing talks with groups that could offer reorganization plans and exit financing for its emergence as a stand-alone company. The time also would allow development of a backup plan to sell all or parts of businesses and assets, the company said.
Interstate let the financing for its previous plan expire because the funding depended on union agreements, which the baker has been unable to reach. The International Brotherhood of Teamsters, which represents about 9,000 of its 25,000 workers, has said it would rather liquidate than agree to the concessions that came with its new business plan.
The company added that its lenders have agreed that the bankruptcy financing would extend through Sept. 30, instead of expiring on June 2. It filed a motion with the court Friday asking for an April 29 hearing to have authorized an amended credit facility allowing it to borrow $250 million, up from $200 million.
Interstate Bakeries (Pink Sheets: IBCIQ) in its fiscal year ended last June 2 lost $112.8 million on revenue of $2.9 billion.

I just looked at 3 routes posted in new england for bid. over 1500 miles a week and barely doing $6000 in sales. thats why on here there are so many different thoughts of what is going on here at IBC. different regions are so very very different. what is important to you is not important to ME and so forth. If your paycheck can absorb concessions then good for you. I know there are weeks when sales are down and no good specials (like the next 8 weeks in a major chain store) then concessions would kill ya. We all knew ibc would get another extention. If IBC starts to sell off its brand names and areas why would we want to give (drag) to a company splitting up? Wasnt the drag part of a proposal to keep the company as one? One of the worse things still going on i think is the so called PULL FORWARD DAYS! MOST OF THESE PULL FORWARD PEOPLE DONT EVEN PUT IN AN HONEST DAYS WORK( I KNOW THEY ARE TEAMSTERS) . i see it here and recently when vacationing in florida i have talked to a recall guy in super who says he puts in 4 hours for about $130. (OTC:IBCIQ.PK) today announced that it has executed a commitment for financing with
certain of the existing lenders under its current debtor-in-possession (DIP) credit facility
, other new lenders and JPMorgan Chase Bank, N.A., as administrative agent and
collateral agent for the lenders, that provides for an amended and restated credit facility
to replace the current DIP credit facility, which expires on June 2, 2008. Under the terms
of the commitment letter, the maturity of the DIP credit facility would be extended to
September 30, 2008 and the amount available for borrowing under the DIP credit facility
would be increased from $200 million to $250 million.
The commitment is subject to a number of conditions, including final
documentation and Bankruptcy Court approval. Today, IBC filed a motion with the U.S.
Bankruptcy Court for the Western District of Missouri seeking authorization to enter into
the amended and restated DIP credit facility and requesting that a hearing on this matter
be held on April 29, 2008, a date that had previously been held on the court’s calendar.
There can be no assurance that the Company will be able to obtain financing on the terms
proposed in the amended and restated DIP credit facility, or at all.
The Company also announced that it has asked the Bankruptcy Court to continue
its plan confirmation hearing, currently scheduled for April 23, 2008, to a date yet to be
determined. The Company said that additional time is necessary for it to continue its
ongoing discussions with multiple parties regarding modifications to its plan of
reorganization, and related exit financing, that would allow IBC to emerge from Chapter
11 as a stand-alone company. This additional time is also needed for the Company to
continue to pursue the on-going sale process which was initiated to sell all or portions of

Comment: Interstate Bakeries reports larger 3rd quarter loss
Interstate Bakeries Corp., the maker of Hostess Twinkies and Wonder Bread, swung to a larger third-quarter loss on lower sales and an increase in restructuring and reorganization costs.
In a report filed with the Securities and Exchange Commission late Thursday, the Kansas City company said it lost $67.8 million, or $1.50 per share, during the three-month period ending March 8, compared with a loss of $42.2 million, or 94 cents per share, during the same period a year ago.
Revenues during the quarter fell 6.4 percent from a year ago to $806.3 million.
Interstate Bakeries said it experienced a 9.7 percent unit sales decline, adjusted for the company’s decision last fall to exit the Southern California bread market. That move involved closing four bakeries and laying off around 1,300 workers.
Costs connected to the exit, as well as a sales reorganization, drove restructuring charges to $226 million during the quarter, compared with a credit of $246 million a year ago.
The company filed for Chapter 11 bankruptcy protection in September 2004. Last month, it allowed an agreement with Silver Point Finance LLC that would have provided financing once Interstate Bakeries exited bankruptcy to expire after it couldn’t reach concessions with the International Brotherhood of Teamsters.
A $5.3 million charge for allowing that agreement to expire, as well as increased professional fees in its bankruptcy case, increased reorganization charges during the quarter by 79 percent to $17.9 million.
A bankruptcy court hearing is scheduled for Wednesday, during which the company may offer a new reorganization plan or begin the process of selling the company whole or in parts.

Comment: The stock is going up again today. A while back booneville wrote that the secured creds were owed over 1 bil. The figure I find is about 450 mil.
